Deal Dynamics Under Antitrust Fire: Contrasting AT&T/T-Mobile and Express Scripts/Medco

Two companies with deep New Jersey ties – AT&T and Medco – were parties to the largest proposed mergers of the past year. AT&T’s proposed acquisition of T-Mobile was abandoned in the face of political opposition and challenges from DOJ, the FCC and competitors. Medco’s acquisition by Express Scripts was completed following eight months of antitrust investigation by the FTC and over 30 State AG Offices, concerns raised by over eighty members of Congress, and a last minute private lawsuit.
Led by the attorneys for Medco, this program will compare and contrast AT&T/T-Mobile with Express Scripts/Medco on subjects of importance for transactional, regulatory, and litigation counsel. This program will discuss best practices for managing regulatory review of transactions, for allocating antitrust or regulatory risk among parties to the transaction, for dealing with concurrent federal and state investigations, and for coordinating media and political strategies with the underlying legal strategies.
