Regulation AB Redux: SEC Re-Proposes Rules Relating to Shelf-Eligibility and Disclosure Requirements

In its April 2010 proposing release, the Securities Exchange Commission proposed a number of rules relating to the offering, disclosure and reporting requirements for asset-backed securities. The Dodd-Frank Act required rulemaking that overlapped with the SEC’s release. This update summarizes some of the shelf eligibility and disclosure requirements addressed in a July 2011 release by the SEC, in which it revised certain of its previously proposed rules and sought further input on other proposals.
