Our Almaty lawyers have extensive experience advising on major domestic and cross-border transactions and disputes in Kazakhstan and the wider CIS, as well as on the full spectrum of legal needs to clients. Energy and Natural Resources
Our lawyers have advised domestic and international clients of all sizes on corporate transactions, financings, and all other aspects of their upstream, midstream and downstream operations, including exploration, production, transportation, oilfield and other energy services. We draft and negotiate the full range of industry-specific agreements relating to subsoil exploitation and advise on all related commercial and regulatory issues including environmental issues. With particular experience in commercial and regulatory matters as they relate to long-distance, cross-border oil or gas pipelines, our lawyers have also handled dozens of transactions in subsectors from CHP to nuclear, from copper to coal, and from phosphates to vanadium. We have advised on intergovernmental agreements, expropriation issues, pre-emptive rights, and meet the needs of our energy clients on a full-service basis from London arbitration to Shanghai IPOs – in short, wherever those needs arise.

Corporate/M&A and General Commercial
Our corporate team advises national and multinational corporations, financial sponsors, regulated investment companies and investment banking firms on the entire range of corporate and general business law matters. With experience working on the privatization of state companies and in the drafting of commercial laws for Kazakhstan, our lawyers have also acted for clients on cross-border transactions in a variety of sectors, notably energy, natural resources, and telecommunications.

Not only are we accustomed to identifying key legal issues that may impact the business or operations of a company at the due diligence stage, but we are also accustomed to offering innovative solutions to these problems. We have acted on corporate transactions involving entities from small start-ups to multinational giants; have conducted due diligence reviews on dozens of companies; and have substantial experience working with the relevant governmental authorities on corporate transactions, including on antitrust/competition filings. We also provide general corporate and commercial advice in areas including: establishment of a local presence in Kazakhstan, receiving accreditation for a representative office and registering with the tax and other authorities; corporate governance; foreign investment regulations; distribution, franchising, sales and other commercial contracts; intellectual property; real estate; and cash management structures.

We counsel clients on the full range of finance matters, including financings governed by U.S., Kazakh or other domestic laws in the CIS. Our diverse clients include leading investment banking firms, public and privately held corporations, private equity sponsors and hedge funds, commercial real estate lenders, real estate funds and rating agencies, and multilateral institutions, in relation to loan finance, including project finance and restructuring; debt or equity capital markets transactions; securitization; and municipal and microfinance matters. A particular feature of our Almaty-based team is its experience advising on financings in a wide array of CIS and other Eurasian jurisdictions.

Litigation and Arbitration
Our disputes team represents clients throughout Kazakhstan at all levels of the domestic court system and includes local and international arbitration capability (including an arbitrator of the International Arbitration Court of the Republic Kazakhstan and a co-drafter of several laws). We have represented clients on the full range of corporate, commercial, finance, debt recovery and bankruptcy, financial services compliance, product liability, construction, real estate and leasing, criminal, administrative and tax proceedings, including enforcement proceedings. Among other cutting-edge victories, our attorneys won the first tobacco consumer lawsuit in Central Asia and one of the first major arbitrations in Kazakhstan. In addition to our knowledge of procedural and substantive law, we like to think that the trust our clients place in the global resources of our firm, our ability to think strategically and coordinate multijurisdictional disputes is a measure of our success.

Regulatory, Compliance and Anti-Corruption
We advise our clients on regulatory matters including advertising law; bankruptcy law; currency and foreign exchange; customs and other import/export regulations; employment; environmental; migration; health and safety; products liability and consumer protection; and all other administrative compliance matters, including licensing. Together with our colleagues in the U.S. and UK, we also offer a full range of anticorruption due diligence, training and advisory services. These include representing clients in investigations in relation to the Foreign Corrupt Practices Act (FCPA); the UK Bribery Act 2010, Kazakhstani and other anti-bribery laws.
