Lawrence V. Berkovich focuses his practice on complex structured finance transactions, with a particular emphasis on cash, synthetic and hybrid structured products such as CLOs and CDOs. He has significant experience with "cash flow" and "market value" structures and leveraged loan warehouse facilities as well as credit default and total return swaps, negative basis trades with various monolines, revolving and delayed draw tranches and interest rate and foreign currency hedging arrangements.
Mr. Berkovich also represents clients in the structuring and offering of interests in various opportunity funds as well as in workouts and restructurings of distressed and defaulted structured products.
In addition, he has advised on a wide variety of cross-border private equity and venture capital transactions, including sales and exchanges of securities, growth equity investments, mergers and acquisitions, sales of assets, leveraged buyouts, restructurings and recapitalizations. He also has experience in derivative product transactions and in matters regarding the U.S. federal securities laws and has represented both Chinese and U.S. clients regarding cross-border transactions involving businesses in the People's Republic of China.
