Experience and Background
Carl A. de Brito, partner in the corporate and securities group as well as co-chair of the firm's private equity fund formation group, advises on private equity fund formation and investments, including public and private mergers and acquisitions, and securities and corporate finance transactions.
Mr. de Brito has been recognized as a top lawyer in the United States for private equity fund formation by leading legal directory Chambers USA, where he is regarded for his "client-oriented attitude and reassuring presence, which ensures that the whole process runs smoothly." The Legal 500 has also listed Mr. de Brito as a top lawyer for private equity fund formation and for his role in leading an "outstanding" and top ranked private equity fund formation group.
Mr. de Brito has been counsel to numerous public and private companies, advising on U.S. and overseas private equity fund matters, public and privately negotiated acquisitions and dispositions, and public and private offerings of equity and debt securities. In particular, he has represented a wide variety of private equity fund sponsors and principals in fund formation matters, including buyout, venture capital, distressed debt, and mezzanine funds, as well as investment activities by those funds.
In the past few years alone, Mr. de Brito has represented numerous leading asset management firms and other financial institutions in the formation of their private equity funds across a broad asset class base, including Trust Company of the West, PNC Financial Services, Jefferies Capital Partners, Bradford Equities Fund, and GarMark Partners.
Professional Activities
Mr. de Brito is a member of the American Bar Association, Business Section and Venture Capital and Private Equity Committee. He is also a member of the Association of the Bar of the City of New York, where he is currently a member of the Private Investment Funds Committee and has previously served as a member of the Committee on Securities Regulation and the Committee on Minorities in the Profession. Mr. de Brito is active in a number of charitable organizations and has served as a member of the Friends of Education Committee of the Museum of Modern Art, and as a director of Associated Black Charities.
