Experience and Background
Derek B. Newman is an associate in the financial services group. He advises hedge funds (both U.S. and offshore), private equity funds, registered investment companies, and investment advisers on a variety of regulatory, corporate, and business matters, including fund formations and distribution, securities law compliance, preparation of compliance policies and procedures, and contract review and preparation.

Prior to joining Dechert in 2004, Mr. Newman was a corporate and securities associate in the New York and Hong Kong offices of a London-based law firm.

Significant Representations
Mr. Newman's recent significant representations include:

-- Assisting U.S. and European asset managers with respect to establishing various operations in China, including the formation of joint venture fund management companies, representative offices and wholly foreign owned enterprises.

-- Providing prominent Hong Kong hedge fund managers with U.S. legal advice on a wide variety of issues in connection with the organization and launch of new funds and on-going compliance with U.S. securities laws and regulations.

-- Assisting UCITS funds advised by a high-profile U.S. fund manager obtain authorization for retail distribution in Hong Kong, and meet continuing regulatory and compliance obligations.

-- Coordinating Asian public and private offering guidance to U.S. and European fund managers and distributors.

-- Assisting leading U.S. and European financial institutions obtain Hong Kong regulatory licenses for asset management and securities dealing activities.

-- Advising Hong Kong-based asset managers registered with the U.S. SEC with respect to continuing U.S. compliance and regulatory issues, including the review and update of their Form ADV, internal control manuals and codes of ethics.
