Experience and Background
Geraldine A. ("Gerrie") Sinatra advises private equity sponsors through the life of their investments in portfolio companies with a focus on accomplishing successful exits. She advises sponsors in their domestic and cross-border acquisitions of portfolio companies and related financing transactions and represents sponsors and their portfolio companies in subsequent add-on acquisitions or dispositions, financings, dividend recapitalization transactions, and restructurings.

In addition, Ms. Sinatra advises sponsors and portfolio companies working toward a liquidity event, such as a public offering or divestiture, and assists sponsors, portfolio companies, and management in negotiating employment and equity terms.

Since 2006, Ms. Sinatra has been recognized as a leading corporate/M&A and private equity lawyer by Chambers USA, a referral guide to leading lawyers in the United States. In recent editions, Chambers has described Ms. Sinatra as "a good all-round legal quarterback for corporate transactions" who is "tireless and unbelievably tenacious in getting things done." She is also recognized for her work in private equity by The Legal 500 (U.S.), where she is cited as "responsive, efficient, and has a broad range of technical knowledge," and is listed in The Best Lawyers in America.

Ms. Sinatra represents private equity sponsors, such as Court Square Capital Partners (and its predecessor, Citigroup Venture Capital), One Equity Partners, and Ontario Teachers' Pension Plan, in connection with their acquisitions and dispositions of both public and private companies, including Carlson Wagonlit Travel, Dynea North America, MacDermid Incorporated, MagnaChip Semiconductor, Newmarket International, Norcross Safety Products, Ntelos Holdings Corp., and Worldspan LP.

Significant Representations
Some of her recent significant domestic and international assignments include:

-- Citigroup Venture Capital Equity Partners, L.P. and Ontario Teachers' Pension Plan in their $1.1 billion acquisition of Worldspan, L.P. (owned by Delta Air Lines, Inc., Northwest Airlines Corp. and American Airlines parent AMR Corp.), Worldspan in its $300 million Rule 144A high yield offering, and the selling stockholders in the $1.4 billion sale of Worldspan, L.P. to Travelport Ltd.

-- One Equity Partners in its $465 million acquisition, along with Carlson Companies, of France-based Accor's 50% interest in Carlson Wagonlit Travel

-- Ontario Teachers' Pension Plan in its acquisition of specialty resin adhesive and paper overlays producer Dynea North America from Dynea Chemicals Oy of Finland

-- Court Square Capital Partners in its acquisition of Wyle Holdings, Inc., an aerospace engineering firm, from Littlejohn & Co., and Wyle in its pending follow-on $235 million acquisition of CAS, Inc., a division of ITT Corporation (NYSE: ITT)

-- Court Square Capital Partners in its pending acquisition of Fibertech Networks, LLC, a leading metropolitan dark and lit fiber infrastructure provider operating primarily in New England and the Mid Atlantic

-- Court Square Capital Partners in its $628 million acquisition of CompuCom Systems, Inc. from Platinum Equity, and CompuCom Systems in its follow-on acquisition of the North American operations of Getronics

-- Court Square Capital Partners and Weston Presidio in their $1.3 billion acquisition of publicly-traded MacDermid Incorporated, a specialty chemical company

-- Citigroup Venture Capital Equity Partners, L.P. in its $750 million acquisition (with co-investor Quadrangle Capital Partners LP) of Ntelos Holdings Corp, Ntelos Holding Corp. in its $172.6 million IPO, and Citigroup Venture Capital and Quadrangle in connection with their underwritten secondary offering of Ntelos shares

-- Odyssey Investment Partners in its $495 million acquisition of Norcross Safety Products L.L.C. from an investor group that includes funds controlled by Trimaran Capital Partners, John Hancock Life Insurance Company, and CIVC Partners, and Norcross Safety Products in its subsequent acquisition of Fibre-Metal Products
