Wayne Rapozo advises on securities offerings, leveraged finance transactions and cross-border acquisitions involving both public and private companies. His practice also includes advising on debt restructurings involving leveraged companies and advising public companies on corporate governance and regulatory issues.
In his securities practice, Mr. Rapozo advises on public and private offerings of debt and equity securities, public company mergers and acquisitions, spin-offs/demergers, initial public offerings and related debt and equity derivative transactions. He represents issuers, underwriters, shareholders, investment funds and government entities in his practice. He advises on a broad range of security offerings, including common shares, American Depository Receipts, Global Depository Receipts, convertible bonds and preference shares, exchangeable bonds, special purpose acquisition companies, PIPEs and new financial products, including regulatory capital instruments. Mr. Rapozo has advised on debt and equity listings on European and U.S. exchanges, including London, AIM, Copenhagen, Ireland, Euronext Paris and Amsterdam, Madrid, Milan, Luxembourg, New York and NASDAQ.
Mr. Rapozo has advised on cross-border mergers and acquisitions involving companies domiciled in the United Kingdom, France, Switzerland, Germany, Italy, Spain, the United States, and various countries throughout Latin America. In particular, he has advised in situations where either acquirer or the target has a listing on a U.S. stock exchange.
In connection with his practice in acquisition and leveraged finance, he advises on mezzanine loans, payment-in-kind instruments, inter-creditor arrangements, high yield notes, bridge financings and related interest and currency hedging transactions.
Mr. Rapozo's restructuring practice involves working with leveraged companies, private equity sponsors, bond holders and creditor committees in connection with consent solicitations, tender offers, debt and equity exchange offers, amendments to credit facilities, corporate governance and consensual and contentious debt work-outs.
He has worked with companies in a number of industries notably in regulated businesses, including mining and natural resources, telecommunications, life sciences and financial services.
Mr. Rapozo has been recognised by Chambers UK for his work in the field of high yield debt. He is a member of the Association for Financial Markets in Europe and the European High Yield Association, and sits on the Intercreditor Agreement Committee and the Committee on Rule Making and Regulation.
Mr. Rapozo is a US-qualified attorney, admitted to practice in the State of New York, and registered as a foreign lawyer in England.
