Investing Abroad – How to Address US Reviews of Foreign Investments and US Sanctions 投资海外 — 如何应对美国对外商投资的审查和制裁

Dechert is proud to present a seminar on how Chinese companies investing around the world can effectively navigate heightened U.S. regulation of foreign investment. The coming expansion of the authority of the Committee on Foreign Investment in the United States ("CFIUS"), as well as additional enforcement of U.S. sanctions against Russia and Iran, require Chinese companies to be more proactive than ever in addressing a new landscape of legal, regulatory and reputational concerns.

For many years, CFIUS has reviewed foreign direct investments in the U.S. for potential national security concerns. Some Chinese investments have been blocked and others have been abandoned as a result of CFIUS’ concerns. Under a new U.S. law currently being finalized, CFIUS’ authority will expand. It will more closely scrutinize investments from China, among other countries, and also will subject investments in U.S. critical technology, critical infrastructure, and sensitive real estate to more rigorous review.  

At the same time, U.S. sanctions against Russia and against Iran also present challenges for Chinese companies: they might become subject to U.S. secondary sanctions because of their current or future Russian or Iranian investments, and such Russian and Iranian investments also might further complicate CFIUS reviews of potential investments in the United States. 

As investment in U.S. companies and technologies continues, Chinese investors need to understand these potential obstacles so they can develop strategies to overcome them. We look forward to a good discussion of these issues.

我们可以预见的是,美国外资投资委员会("CFIUS")权力将进一步扩大,且美国对俄罗斯和伊朗的制裁也将进一步执行,这些情况使得中国企业在此刻比以往任何时候,都需更主动地了解、审视和处理与这些新法律、监管相关的问题。

多年来,CFIUS出于对潜在国家安全问题的考虑,一直对外商在美国的直接投资执行审查。CFIUS审查的结果导致一些中国企业的投资或者被封锁或者被迫放弃。目前,新法律的制定正进入最后定稿阶段,CFIUS将被赋予更大的权力。在所有国家的投资中,它将更严密地审查来自中国的投资,并对涉及美国关键技术、关键基础设施和敏感房地产的投资进行更严格的审查。

与此同时,美国对俄罗斯和伊朗的制裁也给中国企业带来了挑战,因为它们可能会因目前或未来在俄或在伊的投资而受到美国的次级制裁,且这些在俄、在伊的投资也可能会提升CFIUS对这些企业在美投资的审查程度。
