Dechert Advises Certares on its Investment in Voyageurs du Monde
Dechert advised Certares, an American private equity fund, in connection with its investment in the group Voyageurs du Monde, the French leader of tailored travel and adventure travel.
This investment is structured both as a fundraising to finance Voyageurs du Monde’s activities and as an acquisition from the founders of existing shares in Avantage, the holding company controlling Voyageurs du Monde.
The fundraising is conducted through a double issuance of convertible bonds to be subscribed by Certares as well as existing investors (Crédit Mutuel Equity and Bpifrance). The various operations will take place between March and June 2021 and will allow Voyageurs du Monde to raise a total amount of up to €130 million to finance its international development.
Dechert advised Certares on the following aspects:
- Private Equity, M&A and capital markets: François Hellot, partner, Vianney Toulouse and Yan Boistay, associates
- Tax structuring: Sabina Comis, partner, Etienne Bimbeau and Pierre-Emmanuel Floc'h, associates
- Labor and data protection: Thibault Meiers, national partner, Maëlle Chausse and Sophie Montagne, associates
