March 19, 2008
On February 6, 2008, the SEC adopted amendments to Form D, the form required to be filed by issuers making private placements in the United States in reliance on Regulation D promulgated under the Securities Act of 1933. The amendments revise the information issuers are required to furnish in Form D and mandate the electronic filing of Form D through the Electronic Data Gathering, Analysis, and Retrieval (“EDGAR”) system. Electronic filing of a temporary version of the revised Form D will begin on a voluntary basis on September 15, 2008, with electronic filing becoming mandatory on March 16, 2009.
