This case presents an important question of law affecting the mutual fund industry:  whether, in adopting new proxy access Rule 14-a and applying that Rule to investment companies, the SEC’s rule-making procedure was arbitrary and capricious in violation of the Administrative Procedure Act. Dechert attorneys Steven A. Engel (counsel of record), Robert W. Helm, Ruth S. Epstein, and G. Eric Brunstad, filed an amici curiae brief in support of petitioners on behalf of the Investment Company Institute and the Independent Directors Council.
