Practical M&A Counseling Under the New U.S. Merger Guidelines

This article explores two of the major changes, flexibility and proximity, to the Horizontal Merger Guidelines, which was updated for the first time in 18 years in 2010. The author Paul Denis is well qualified to offer practical counseling insights on the new guidelines: while serving in the Antitrust Division of the United States Department of Justice, Paul was the principal draftsman of the 1992 Horizontal Merger Guidelines, noted as “one of the most cited documents of modern antitrust” and is the foundation for the federal merger enforcement guidelines.
