Takeovers, Mergers & Acquisitions

  • Advised a HK-listed construction company on its HK$2.6 billion acquisition of a Singapore property development and construction business which constituted reverse takeover and deemed new listing
  • Advised a HK and Shenzhen listed PRC-based engineering equipment manufacture company on its RMB11.6 billion major disposal of its environmental sanitation business and assets
  • Advised a HK-listed PRC-based hypermarket operation company on its RMB998 million asset swap transaction for the acquisition of hyermarket chain and shopping centre in the PRC
  • Advised a substantial shareholder on the acquisition of a controlling stake in a HK-listed telecommunication equipment company and the subsequent mandatory general offer
  • Advised the financial adviser to the offeror on the HK6.11 billion acquisition and mandatory cash offers for a HK-listed PRC-based dairy products manufacture company

Capital Markets 

  • Advised a HK-listed property development and construction company on the establishment of US$500 million medium term note and perpetual securities programme
  • Advised a HK-listed PRC-based property development company on the offering of US$400 million senior notes
  • Advised the joint underwriters on the HK$1.2 billion rights issue by a HK-listed PRC-based securities and brokerage company
