Benjamin Snyder has experience in a wide range of banking and finance matters. Mr. Snyder concentrates his practice on banking and financing transactions for both borrowers and lenders (including leveraged acquisition financings, working capital financings and restructurings).

Prior to joining Dechert, Mr. Snyder was an associate at another international law firm.

Significant Representations

  • Represented Barclays Bank, as Administrative Agent, in the execution of a US$200 million Incremental Term Facility to the existing US$660 million Senior Secured Credit Facility of Jarden Corporation in connection with its acquisition of Visant Corporation, the parent corporation of Jostens.
  • Represented the Administrative Agent in the execution of a US$755 million Senior Secured Credit Facility consisting of a First Lien Term Loan, First Lien Revolving Loan Commitment and Second Lien Term Loan in connection with the acquisition of an adhesive and coatings manufacturer.
  • Represented JPMorgan Chase Bank, as Administrative Agent, in the execution of a US$2.1 billion Senior Secured Credit Facility consisting of a First Lien Term Loan, First Lien Revolving Loan Commitment and a Second Lien Term Loan for La Quinta Inc. in connection with a refinancing and initial public offering.
  • Represented Deutsche Bank, as Administrative Agent, in the amendment and waiver of each of its credit facilities in the United States, Europe, Asia and Australia of The Hertz Corporation in connection with the restatement of its financial statements.
  • Represented the Noteholders in an exempt US$175 million Unrestricted Securities Offering of a Brazilian Issuer.
