Geneva Campbell Brown focuses her practice on corporate and securities matters, including mergers and acquisitions, private equity transactions, public company securities filings and general corporate advice, with significant experience in mergers and acquisitions within the life sciences and health care industry. Additionally, Ms. Brown is actively involved in firm citizenship at Dechert and serves as a member of the Global Women’s Initiative and Speakers' Society. Ms. Brown serves on the Executive Committee of the Philadelphia Bar Association Business Law Section, one of the Philadelphia Bar Association's largest sections, and the Young Lawyers Editorial Board of The Legal Intelligencer, the oldest law journal in the United States.

Prior to joining Dechert, Ms. Brown completed an internship with a global healthcare company. She also completed a fellowship for a local pro bono organization that provides legal services to low-income Philadelphia residents.

Ms. Brown maintains an active pro bono practice. Among other things, she founded the Community Lawyering Practice Group at Dechert, through which attorneys participate in legal clinics related to medical services, custody, homelessness, public benefits and elder care in partnership with local legal services organizations. For her work with the Community Lawyering Practice Group, Ms. Brown received the 2017 Samuel E. Klein Pro Bono Award and was named the February 2017 Member of the Month for the Barristers’ Association of Philadelphia. Ms. Brown also received the Amicus Award at Philadelphia VIP’s 2017 Awards Ceremony and was recently recognized as one of Philadelphia’s “25 Young Lawyers on the Rise” by Philadelphia Business Journal.

Ms. Brown was a Dechert summer associate in 2012.

  • Travel Leaders Group, one of the largest travel companies in the U.S., in connection with its acquisitions of The Andrew Harper Travel Office and The Andrew Harper Alliance, a full service luxury travel agency and amenity-driven hotel program, CruCon Cruise Outlet, one of the largest sellers of cruises, and Colletts Travel Limited, a luxury travel agency based in the UK.
  • Northern Brewer, LLC in its sale to ZX Ventures Holdings Corp., the venture capital unit of Anheuser-Busch InBev.
  • Centre Partners Management LLC in connection with its investment in Bradford Health Services, LLC, one of the largest providers of substance abuse treatment and recovery services in the Southeastern United States.
  • Blackboard Inc., the world’s leading education technology company, in connection with its acquisition of Higher One Holdings, Inc. for an equity value of US$260 million.
  • B&G Foods, Inc. in its US$765 million acquisition of the Jolly Green Giant and Le Sueur brands.
  • Ventas, Inc. in its completed spin-off of most of its post-acute/skilled nursing facility portfolio into an independent, publicly traded REIT called Care Capital Properties, Inc.
  • Dutch biotech AM-Pharma and its shareholders in the acquisition by Pfizer Inc. of a minority stake and an exclusive option to acquire the remaining equity for a total of up to US$600 million.
