Guillaume Briant advises public and private companies on French and international M&A, joint ventures, IPOs, reorganizations, as well as on general corporate or commercial law matters.

Guillaume Briant is admitted to the Paris and New York Bars, and completed a six month secondment within Dechert's London office in 2013/2014.

His approach is client-focused, business driven and pragmatic. In December 2015, Guillaume Briant was ranked as one of the 30 rising stars of the Paris business bar by Décideurs Juridiques & Financiers. He is a lecturer at the Panthéon-Assas Law School (University Paris 2) where he teaches M&A transactions.

Mergers & Acquisitions

  • Represented Neovia on an exclusive negotiation agreement with Archer Daniels Midland Company.
  • Represented Continental in the share capital increase of Easymile.
  • Represented Orange in its acquisition of Enovacom, a leading healthcare software company.
  • Represented a leading international brand name in pet care and wellness in the purchase of a pet care accessories, rawhides and veterinary medicines business in France, Italy, Spain.
  • Represented a leading international telecom group, in connection with the signing of a share purchase agreement relating to the acquisition of two telecom operators in Burkina Faso and Sierra Leone.
  • Represented a leading international telecom group on the disposal of its subsidiary in Kenya.
  • Represented a leading international telecom group on the reorganization of its operations in Egypt.

Equity Capital Markets

  • Represented a worldwide French telecommunications company in its US$3.35 billion tender offer on a publicly-listed Egyptian company and a related transaction with its controlling shareholder.
  • Represented an innovative medtech company in its IPO on Euronext (Paris), raising €32 million through a capital increase, as well as €10 million through a prior venture loan and €5 million through a pre-IPO equity financing.
  • Represented the sponsors in the €10.4 million private placement of a French biotech company in the US.
  • Represented a Danish biotech company in the international aspects of its IPO.

Projects / Mining

  • Represented an international group in the US$430 million sale of an indirect 20% interest in an open pit copper mine in the Democratic Republic of Congo.
  • Represented an international group in its investment in and development of a lime and cement project and the construction of a processing plant in the African copperbelt.
  • Represented a mining company based in the African copperbelt in the disposal of its non-core mining permits.

  • Represented a leading pharmaceutical company in several international collaboration agreements with various international partners.
  • Represented a Copenhagen based biopharmaceutical company in its exclusive global license and collaboration agreement with one of the world’s leading pharmaceutical companies.
