Smridhi Gulati focuses her practice on corporate and securities matters, with particular emphasis on acquisition finance, leveraged finance and general banking work.

Ms. Gulati advises UK and international lenders, including direct lending funds, banks and other financial institutions, as well as private equity sponsors and corporates on a variety of UK and cross-border acquisition finance and corporate lending transactions, including bilateral, club and global syndicated lending for private equity backed buyouts, management buy-outs, mergers and acquisitions, and refinancing and restructurings of leveraged assets.

Ms. Gulati is named an "Associate to Watch" for banking and finance in the 2018 edition of Chambers UK and is described as "very user-friendly and very commercial in her responses." The 2017 edition of The Legal 500 UK recommends her work in acquisition finance and clients note she is "proactive, knowledgeable and commercial." She is recommended for her work in bank lending and noted as an associate to watch by The Legal 500 UK, 2015.

Prior to joining Dechert, Ms. Gulati served as a senior associate at DLA Piper where she focused on debt finance. While working at DLA Piper, Ms. Gulati spent time on secondment to UBS AG and Lloyds Banking Group.

  • Ares Management Limited and The Royal Bank of Scotland on their provision of a senior debt financing package to support Phoenix Equity Partners acquisition of a majority stake in the Forest Holidays Group.

  • Ares Management Limited and Barclays Bank plc on their provision of unitranche and super senior debt facilities to assist in the funding of the acquisition of Dobbies Garden Centres from Tesco for £217 million, by a consortium led by Midlothian Capital Partners and Hattington Capital.

  • A syndicate of mezzanine lenders made up of credit affiliates of Ardian GoldenTree Asset Management, KKR Creditor Advisors, Babson Capital Management, Alpinvest Partners, Idinvest Partners and Ares Management on their debt for equity restructuring, resulting in the mezzanine lenders owning a controlling stake in the equity of the Maxeda DIY Group.
