Xenia Garofalo focuses her practice on the tax aspects of financial instruments, structured finance and investment vehicles. Ms. Garofalo routinely provides tax advice to issuers, underwriters, financial institutions and other clients on a wide range of domestic and cross-border transactions, particularly in connection with mortgage-backed securitizations, including REMICs, real estate finance and structured finance. Ms. Garofalo also provides advice on the taxation of investment funds to sponsors, funds, and investors, particularly on matters relating to private investment funds. In addition, she counsels clients on the tax-efficient use of special purpose vehicles, such as REITs, and advises issuers, investors and underwriters with respect to taxation of financial instruments and debt/equity tax classification issues. Ms. Garofalo also advises charities, on a pro bono basis, regarding various formational, international, and operational issues.

Ms. Garofalo has been honored by The National Black Lawyers as one of its “Top 40 Under 40.”

In addition to her practice, Ms. Garofalo is an adjunct professor at Howard University School of Law, where she teaches “Advanced Corporate Problems” (a corporate tax course).
