Samantha R. Koplik focuses her practice on leveraged finance transactions for private equity firms, public and private companies, institutional lenders, business development companies, private debt funds and other providers of senior and subordinated debt financing. Ms. Koplik advises clients on a broad range of financing transactions, including primary debt offerings in both the private and public markets, refinancings, recapitalizations and restructurings and acquisition financing for domestic and cross-border matters. She also provides general corporate advice to a number of private equity portfolio companies and other operating companies across various industries.

Ms. Koplik was recently recognized as a 2017 Rising Star in Euromoney/Legal Media Group’s Expert Guides series. In addition, she is recognized as a Rising Star by IFLR1000 for banking and capital markets: debt and listed in the Private Equity category of The Legal 500 U.S.

Ms. Koplik is also a Pro Bono Practice Group Leader in the New York Office.

  • Bregal Partners in connection with its leveraged investment in American Seafoods Group, LLC, the largest U.S. harvester of wild-caught fish for human consumption.
  • Court Square Capital Partners in connection with first lien and second lien financing for its acquisition of DISA Global Solutions, Inc., a leading provider of workplace compliance and safety solutions.
  • Prospect Capital Corporation, as administrative agent and lender in connection with several first lien and mezzanine financings, including US$46.5 million to finance the private equity acquisition of Atlantis Healthcare Group (Puerto Rico), Inc., the second largest provider of renal care services in Puerto Rico; and US$59 million to finance the private equity acquisition of ArkLaTex Wireline Services, LLC, a provider of cased hole wireline and related pressure control services in the southeastern United States.
  • Court Square Capital Partners in connection with first lien and second lien financing for its acquisition of Research Now Group, Inc., an international market research, online sampling and data collection company.
  • BioScrip, Inc., a public provider of comprehensive home health and infusion services, in connection with the refinancing of its senior secured credit facilities with US$475 million of new senior debt and a subsequent US$200 million notes offering under Rule 144A of the Securities Act.
  • Fifth Street Finance Corp., as administrative agent and lender for a unitranche term loan and revolving credit facility to finance the acquisition of Valet Waste Holdings, Inc., a leading provider of doorstep trash and recycling collection services to multifamily housing locations.
  • Bregal Partners L.P. in connection with its acquisition of Embassy 1, LLC, a multi-state provider of community-based behavioral services, residential services and employment training to individuals with developmental disabilities, and its related acquisition of ReMed Recovery Care Centers, LLC, a highly regarded provider of brain injury rehabilitation services.
