Violetta Kokolus advises on complex technology and intellectual property transactions. Her practice focuses on intellectual property licensing, intellectual property development strategies (including, patent pools and data monetization) and product-related commercial matters. She also advises clients in connection with technology and intellectual property issues in acquisitions, divestitures, joint ventures, financings and restructurings in a variety of industries within both the public and private sector.

Representative transactions of Ms. Kokolus include advising:

  • a software company in managing its IP licensing and development matters (including, negotiating joint development and source code license agreements);
  • a biotech company in connection with a sale involving complex issues regarding earn-outs and milestone payments;
  • a start-up company regarding data privacy and cybersecurity laws and requirements;
  • a multinational company on structuring a potential sale of a business line (including, consideration of issues relating to carve-outs and anti-assignment considerations);
  • a pharmaceuticals company in connection with its joint development and collaboration agreement;
  • a private equity firm in its diligence of a consumer electronics company, including a review of key patent licenses;
  • a technology company in connection with a complex cross-license required under a settlement;
  • a bank in its inbound licensing of key fintech products; 
  • an electronics company with respect to a key joint venture;
  • a software company in creating its form documents relating to its SAAS offerings; and
  • a consumer products company with respect to licensing of its key brands to international partners.

Prior to joining Dechert, Ms. Kokolus practiced law at an international law firm and her experience in the technology and intellectual property group included representing Facebook in its acquisition of WhatsApp, Sanofi in the restructuring of its alliance agreement with Bristol-Myers Squibb with respect to Plavix® and Avapro®/Avalide® and General Electric in various technology joint ventures. She also was seconded as legal counsel to Apple Inc. in Cupertino, California and Panasonic Corporation in Osaka, Japan.  Ms. Kokolus has been selected as a Rising Star by Super Lawyers, a division of Thomson Reuters, from 2013 – 2018.
