Hannah K. Rashid focuses her practice on corporate and securities matters with an emphasis on M&A, private equity, joint ventures, re-organisations, and general corporate and commercial advisory.

Prior to joining Dechert, Ms. Rashid served as a legal consultant for an international consulting firm where she provided corporate and commercial legal services to both UK-based clients and those serviced by the firm in the Dubai market. She also worked as a solicitor at an English-based law firm where she was involved in a variety of cross-border transactions, company and business sales, group re-constructions and shareholders' arrangements.

Mergers & Acquisitions

  • Hass Petroleum Group, a leading oil marketing company in Africa, on its sale of a strategic stake in the company to Oman Trading International, a global trading company that specialises in energy products.
  • A subsidiary, providing global business travel services, in connection with its proposed acquisition of a controlling interest in a UAE headquartered travel agency, with operations in 5 jurisdictions across the GCC.
  • COREX Holdings (Cyprus) Limited, a Cypriot domiciled holding company, in relation to the sale of the entire issued share capital of COREX UK Limited, a provider of analytical services for the oil and gas industry, to Premier Oilfield Laboratories, LLC.
  • Construction Products Company (“CPC”), part of the Saudi Binladin Group, in connection with the acquisition by International Finance Corporation, a member of the World Bank Group, of a 20 per cent. equity interest in Sphinx Glass, an Egyptian-based subsidiary of CPC focused on glass manufacturing.
  • The owners of one of the most well-respected family company names in the UAE with regard to its potential acquisition of a controlling interest in a medical equipment and supplies company.
  • A Hong Kong-based petroleum company in relation to its potential acquisition of a 45 per cent. equity interest in an oil storage terminal facility in the GCC region.
  • A Nigerian oil and gas company in relation to a US$320 million debt and equity investment.
  • A UAE government entity in relation to the acquisition of U.K. based real estate assets from a Liberian corporation.
  • The selling shareholders of a company offering full-service, integrated rehabilitation services in connection with a complex £14 million transfer of the entire issued share capital to a listed company.
  • The owners of event caterer Mark Ellis Catering Company Limited (trading as ‘Mecco’) in connection with the company sale to Jamie Oliver’s Fabulous Feasts Limited for an undisclosed sum.
  • Sale of the education catering division of a successful, London-based hospitality and catering group for a value of £3.5 million.
  • The owners of Western Electrical Holding Limited in connection with the sale of shares to Marlowe Holdings Investment Limited for an undisclosed sum.
  • The selling shareholders of The Hotelier Group Limited in connection with the sale of the entire issued share capital to Dominvs Investments 1 Limited for an undisclosed sum.


  • A Mauritian domiciled client in relation to the re-organisation of certain investments in property development companies in India.

Purchases from Administrators

  • A consortium of investors, which acquired the business of Axminster Carpets Limited, one of the world’s largest manufacturers of Axminster, Wilton and Tufted carpet from the administrators, Duff & Phelps.

Joint Ventures

  • Various joint venture agreements including corporate joint ventures and high-net worth/sophisticated investors. Experience includes acting for a consortium in respect of a tranched investment in Tinc Limited.
