Sean J. Rosenthal focuses his practice on debt finance and leveraged finance transactions. Mr. Rosenthal has considerable experience representing borrowers and sponsors in the negotiation and execution of domestic and cross-border financing documents, including asset-based loans, senior secured loans, syndicated loans and first and second lien loans. He regularly advises clients from an array of industries, such as medical technology, chemical and textile manufacturing, and consumer goods.

Mr. Rosenthal frequently writes articles on various legal, economic and miscellaneous topics for publications, including the Foundation for Economic Education and Business & Bankruptcy Law Journal. Prior to joining Dechert, Mr. Rosenthal was a finance associate at a well-known global law firm.

Experience
  • Advised a private equity firm in connection with a US$395 million first lien credit agreement and a US$120 million second lien credit agreement to finance the cross-border acquisition of a global provider of travel visa and immigration services.
  • Advised a private equity firm in connection with a US$275 million asset-based loan credit agreement and a €75.7 million term loan credit agreement to finance the cross-border acquisition of global providers of ski equipment and in connection with joinders and creation of security interests in 11 different countries.
  • Advised a private equity firm in connection with a US$205 million first lien credit agreement and a US$75 million second lien credit agreement to finance the acquisition of a provider of employee benefits and retirement planning services.
  • Advised a private equity firm in connection with a US$155 million credit agreement refinancing for a provider of fine chemicals.
  • Advised a private equity firm in connection with a US$140 million credit agreement refinancing for a provider of dentistry equipment.
  • Advised a private equity firm in connection with a US$42.5 million first lien asset-based loan credit agreement and a US$5 million second lien term loan credit agreement to finance the merger of providers of decorative fabrics designs.
  • Advised a private equity firm in connection with a US$40.5 million incremental amendment to finance an add-on acquisition for a provider of medical equipment.
