Tiffany Toh focuses her practice on investment fund transactions.  Ms. Toh counsels clients on the structuring and establishment of private equity investment funds, secondary transactions, carried interest and co-investment plans, team spin-outs, co-investments and other private equity related transactions.  She also acts on the establishment of other types of alternative investment funds, such as real estate and venture capital funds.  Ms. Toh also provides advice to major institutional investors on their investments into funds.

Prior to joining Dechert, Ms. Toh served in the corporate tax practice of another international office, where she advised MNCs on issues such as e-commerce taxation, tax restructuring, spin-offs and M&As, and IP migration. Her previous experience also includes counseling high net worth individuals on issues such as estate planning and family offices. She has also advised investment funds on cross-border taxation issues.

  • A China-based private equity firm on the establishment of co-investment structures to make downstream investments into a SGX-listed corporation and a Chinese e-commerce company.
  • A Singapore-based fund-of-funds manager on its carried interest arrangements, the raising of its second fund with total commitments exceeding US$1 billion, and its downstream investment into a Korean fund.
  • An Indonesia-based venture capital management firm on the establishment and raising of its first venture capital fund focusing on internet businesses in Southeast Asia.
  • A London-based management firm with respect to a joint venture project to establish a US$500 million fund focusing on distressed debt in China.
  • A Hong Kong fund manager with multiple closings of its second private equity fund, with total commitments exceeding US$2 billion.
  • A Hong Kong fund manager on the conversion of its family office platform into a fund structure focusing on Korean education investments.
  • A Singapore real estate investment manager on its first fund focusing on Indian real estate.
  • A U.S. manager on the structuring of its first fund providing credit to Silicon Valley entrepreneurs.
