Ms. Villalobos focuses her practice on a wide range of employee benefits and executive compensation matters. She advises publicly traded and privately held companies in designing incentive and equity-based compensation plans for executive-level employees and in employment and severance negotiations. She also advises publicly traded and private equity companies on employee benefits and executive compensation issues in mergers and acquisitions and other corporate transactions, including drafting employment, transaction and equity-based award agreements and assisting in Code Section 280G parachute payment and Code Section 409A analyses. Ms. Villalobos assists clients with employee benefits and executive compensation plan legal compliance, plan administration and qualification, and counsels senior executives in employment and separation negotiations.

Prior to joining Dechert, Ms. Villalobos clerked for the Honorable Diana Leyden of the United States Tax Court. After receiving her J.D., she was a Christine A. Brunswick Public Service Fellow at Philadelphia Legal Assistance where she represented taxpayers with federal tax controversy matters before the Internal Revenue Service and in the United States Tax Court.
