Helen Wong focuses her practice on corporate finance transactions, including public and private mergers and acquisitions, initial public offerings, debt offerings and general compliance matters. Ms. Wong has experience acting as a sponsor or company counsel for various initial public offerings on the Main Board and GEM of the Hong Kong Stock Exchange.

Prior to joining Dechert, Ms. Wong was an associate at a well-known, first-tier law firm headquartered in Hong Kong.

Experience

Takeovers, Merger and Acquisitions

  • A controlling shareholder on its acquisition of an optical business from of a Hong Kong-listed watch and optical retail and trading company, and the continuing related transactions between the parties following the acquisition.
  • A Hong Kong-listed chemical fertiliser company on its voluntary delisting from the Singapore Stock Exchange and the conditional cash exit offer to acquire its shares.
  • A Hong Kong-listed apparel manufacturing company on the voluntary general offer for its shares and its special deal and major transaction relating to the disposal of its business.
  • A Hong Kong-listed steel manufacturing company on its formation of a joint venture with a Japan-listed company and its various issues of shares to, and cooperation agreements with, its PRC steel business partners.
  • A Hong Kong-listed electronic appliances trading company on its subscription of convertible bond and acquisition of shares, in a leading German-listed kitchen furniture manufacturer.
  • A  hospitality and restaurant management company on its acquisition of PRC restaurant chain stores and a franchise operator. 
  • A Hong Kong-listed real estate company on its subscription of shares in a London real estate company and formation of a joint venture for the acquisition of development sites in London.
  • A Hong Kong-listed rest estate company on its acquisition of a tourism and travel agent business in Hong Kong and Macau.

Capital markets

  • A Shanghai-focused developer, owner and operator of retail-anchored mixed use projects on its US$920 million institutional capital raising from a Canadian real estate company, a Dutch pension asset manager and a Dutch investment company.
  • A Hong Kong-listed travel business company on its issuance of perpetual convertible securities.
