Matthew E. Barsamian

Matthew E. Barsamian focuses his practice on the investment management industry, primarily representing registered investment companies (including open-end funds and closed-end funds) and BDCs, their investment advisers and their boards with respect to a wide range of regulatory, compliance and securities law issues. He has particular expertise in issues related to the launch and operation of alternative strategy investment funds registered under the Investment Company Act of 1940.

Mr. Barsamian advises investment company clients with the structuring and registration process, reporting and disclosure obligations, as well as fund governance and compliance issues. He also counsels fund boards and independent board members on regulatory, corporate governance, and fiduciary oversight matters.

Mr. Barsamian also regularly advises issuers on Investment Company Act status matters, including providing advice on avoiding investment company status, and has substantial experience in structuring transactions to address these matters.
