Hannah MacDonald

Hannah MacDonald is an associate Dechert’s financial services group. Ms. MacDonald focuses her practice primarily on fund formation, representing private funds and asset managers across a number of alternative investment strategies, including in particular private equity, venture capital and real estate. She has experience advising on complex carried interest and co-investment arrangements, drafting and negotiating of shareholders’ agreements and limited liability partnership agreements for asset managers, as well as management restructurings and succession planning.

In addition to fund formation, Ms. MacDonald has advised GPs on other complex transactions such as GP-led secondaries, liquidity solutions, co-investments and asset manager acquisitions. Alongside GP-focused work, she regularly acts for institutional investors and fund of fund clients in connection with their investment programs into funds and secondary transactions.

  • Hermes GPE on the GP-led secondary of a US$1 billion portfolio of private equity fund-of-funds assets.
  • Medicxi on a €200 million GP-led multi-asset continuation fund.
  • Benson Elliot, a European-focused PERE fund manager on the sale of its fund management business to PineBridge Investments.
  • Hermes GPE on the launch of its private equity innovation strategy, Hermes GPE Innovation Fund and its second vintage, Federated Hermes GPE Innovation Fund II.
  • Litigation Capital Management, on the establishment of its litigation funding private fund strategy.
  • Abrdn, on their primary fund investment programmes (across private equity, venture capital, secondary, infrastructure and credit funds) and co-investment structures

  • KIND – works on the Kids in Need of Defence UK project to provide assistance to undocumented children and young people gain documented status in the UK. 
  • Afghan BAP Program – works to assist at-risk Afghan nationals and their families to relocate safely to Germany.
  • JustLikeUs – regularly provided pro bono legal advice to the LGBT+ young people’s charity and participated in their mentorship program.
