Sean Herron

Sean Herron focuses his practice on mergers and acquisitions, with an emphasis on private equity and joint ventures in a range of sectors, including financial services, technology and industrials. Mr. Herron represents private equity sponsors and their portfolio companies, alternative asset managers and private and public company clients in complex transactions, including mergers and acquisitions, joint ventures, recapitalizations, growth equity investments and other transformative capital events.

Mr. Herron currently serves on the Large Firm Associates Committee of the Philadelphia Bar Association. He joined Dechert as a summer associate in 2016.

  • Marcum LLP in connection with several transactions, including:
    • its $2.3 billion sale of its advisory, tax and consulting business to CBIZ, Inc.
    • its sale of its attest practice to Mayer Hoffman McCann P.C.
  • Bain Capital on its strategic growth investment in Archwest Capital, a national residential lender specializing in non-owner-occupied residential real estate loan solutions.
  • Stifel Financial Corp. (NYSE:SF) in connection with several transactions, including:
    • its formation of a substantial leveraged lending joint venture and strategic collaboration with Korea Investment & Securities Co., Ltd (KIS).
    • its launch of Twelve Degrees, a strategic collaboration with RCP Advisors that is focused on investing in and providing capital solutions to leading emerging and first-time alternative investment fund managers.
  • Ahead, LLC in connection with  
    • its acquisition of Kovarus. 
    • its acquisition of CDI, LLC, combining two of the market’s fastest growing digital transformation specialists to create a US$3.7 billion global entity.
  • Graham Partners in connection with
    • its acquisitions and sales of several portfolio companies, including Acme Cryo, Nuconic Packaging and Advanced Barrier Extrusions.
    • its growth capital investments in several portfolio companies, including Kinova Group and Surgere.
  • Court Square Capital Partners in connection with
    • its acquisition of Thrive, a provider of technology managed services, followed by the acquisition of Edge Technology Group by Thrive.
    • its sale of DISA Global Solutions, Inc., a leading tech-enabled provider of employee testing, screening, compliance management, and workplace health and safety solutions to a diverse set of end markets, to Audax Private Equity.
  • B&G Foods, Inc. in connection with its acquisition of Farmwise LLC, a creator of plant-based products, including Veggie Fries®, Veggie Tots® and Veggie Rings®.
