Marie Mast

Marie Mast focuses her practice on corporate and securities law, with a particular emphasis on private equity transactions and M&A, as well as capital markets and general corporate matters.

Ms. Mast has experience advising private equity firms and strategic companies on transactions across a wide range of industries, including healthcare, food and beverage, industrials, technology, education and life sciences.

Ms. Mast joined Dechert as a summer associate in 2016. 

  • GIC, a sovereign wealth fund of Singapore, on numerous transactions, including its:
    • minority investment, together with a wholly owned subsidiary of Abu Dhabi Investment Authority, in Pye-Barker Fire & Safety, a leading privately-owned commercial fire protection and security alarm service provider in the United States, joining existing investors Leonard Green & Partners, L.P. and Altas Partners.
    • take-private acquisition of Zuora, a leading monetization suite for modern business, in partnership with Silver Lake, in a transaction valued at US$1.7 billion.
  • Bentley Systems, an infrastructure engineering software company, in connection with its acquisition of Cesium, a 3D geospatial company.
  • Quest Diagnostics Incorporated, the world’s leading provider of diagnostic information services, in connection with: 
    • its acquisition of select lab assets from Allina Health;
    • its acquisition of OhioHealth’s outreach laboratory services business;
    • its acquisition of the assets of Lenco Diagnostic Laboratories, Inc., an independent clinical diagnostic laboratory provider serving physicians in New York, in an all-cash transaction for US$111 million;
    • its acquisition of select assets which constitute substantially all the operations of Memorial Hermann Diagnostic Laboratories, the outreach laboratory division of Memorial Hermann Health System.
  • Centerbridge Partners in connection with the formation of Overland Advisors, its strategic partnership with Wells Fargo to launch a private credit platform targeting a minimum of US$5 billion of investable capital, including US$2.5 billion in equity commitments.
  • Cerberus Capital Management, a global leader in alternative investing, in various acquisitions and exits, including its:
    • acquisition of Spring EQ, a leading provider of home equity financing solutions;
    • a strategic investment in Lighthouse Autism Center, a leading provider of center-based autism behavioral health services for children diagnosed with autism spectrum disorder.
  • Court Square Capital Partners in the private equity firm’s strategic capital investment into Five Star Parks & Attractions, a platform that partners with and invests in leading family entertainment centers and Five Star on its subsequent acquisition of Scene75 Entertainment, an international award-winning brand of entertainment centers located across Ohio and Illinois.
  • ROBO Global, an index and research company exclusively focused on helping investors capture the unique opportunities of fast-growing robotics, artificial intelligence, and healthcare technology companies around the world, in the sale of its index suite to VettaFi.
  • Tiziana Life Sciences, a biotechnology company, on its jurisdictional migration and movement from listings on both the Main Market of the London Stock Exchange and NASDAQ to a sole listing on NASDAQ.
  • Diamonds Direct USA in its US$490 million agreement to be acquired by Signet Jewelers, the world's largest retailer of diamond jewelry.
  • Graham Partners, a middle market private equity firm specializing in advanced manufacturing and industrial technology buyout and growth investments, on Berry Global’s flexible packaging converting business.
  • One Equity Partners and Anvil International, LLC in connection with the merger of Anvil International with Smith-Cooper International.
  • Blackboard Inc., a leading global educational software company and an affiliate of Providence Equity Partners, in connection with the sale of its Transact business unit to Reverence Capital Partners.
  • Edge Therapeutics (NASDAQ: EDGE), a U.S.-based biotechnology company, in connection with its merger with PDS Biotechnology Corporation, a privately-held, clinical-stage cancer immunotherapy company.
  • One Equity Partners in its acquisition of Ernest Health Holdings from Guiding Health Management Group and Medical Properties Trust.
  • OraSure Technologies, Inc. in its sale of its cryosurgical business to CryoConcepts LP.
