Thriving in the New Antitrust Paradigm: Part 1 – Merger Clearance

Wednesday, October 27, 2021

Antitrust merger reviews are changing. “Close at risk” letters, new types of questions from enforcers, anticipated new vertical and horizontal guidelines, increased investigative powers of the European Commission and other recent policy announcements are changing how antitrust merger investigations are conducted.

In this webinar, a transatlantic panel of Dechert lawyers discussed how recent developments do (and do not) impact how merging parties should approach deal diligence, terms of purchase agreements, advocacy for clearance, and consideration of potential remedies.

Boiling Points: The Role of Hot Documents in Antitrust Merger Investigations

Tuesday, November 16, 2021

In merger review, antitrust agencies attach significant weight to hot documents prepared by senior management. This can be a colorful phrase in a bullet point, or financial modeling of the deal reflecting price changes.

In this webinar, Dechert antitrust/competition co-chair and former Federal Trade Commission, Assistant Director Mike Cowie and Dechert partner Rani Habash will highlight real-world examples of hot documents that garnered unwanted attention from government authorities. The panel will also provide guidance on using fact-based, procompetitive themes in merger planning communications that support your deal.

Thriving in the New Antitrust Paradigm: Part 2 – Business Practices

Tuesday, December 14, 2021 11:00 a.m. — 12:00 p.m. ET

Antitrust scrutiny of Big Tech has spilled over into how enforcers view business practices in other industries. Enforcers are increasingly scrutinizing so-called “exclusionary conduct” — business conduct, vertical agreements and intellectual property use that can exclude competitors.

At the same time, the scope of antitrust scrutiny is expanding in uncertain ways. A new, broader approach goes beyond the impact on consumers to a less well-defined, “anti-monopoly” analysis that considers the impact on workers, suppliers and smaller competitors.

In this webinar, a transatlantic team of Dechert antitrust/competition lawyers will discuss what companies need to understand about the new paradigm, and how it does (and does not) impact their risks and compliance efforts.

Dechert Speakers:
Marjolein De Backer, Associate, Brussels (moderator)
Craig Falls, Partner, Washington, D.C.
George Gordon, Partner, Philadelphia
Marion Provost, National Partner, Paris
Shari Ross Lahlou, Partner, Washington, D.C.
