Dechert Partners Publish The Bank Investor’s Survival Guide

Dechert LLP announces the release of The Bank Investor’s Survival Guide: A Guide for Private Equity, Hedge Fund, Mutual Fund and Activist Investors to Navigate U.S. Federal Bank Investment Rules. The Guide, authored by Thomas Vartanian, David Ansell and Robert Ledig, is a roadmap to structure investments in banking companies to limit Bank Holding Company Act (BHCA) and other bank control restrictions. It also describes how investors can legally influence the company’s performance, including conducting proxy contests, without triggering control rules.

The authors discuss fund aggregation issues that frequently impact mutual fund complexes, and a range of new Dodd-Frank limitations which will impact the value of a bank investment. They include acquisition hurdles, the Volcker Rule, living wills and the FDIC’s new authority to act as Receiver for non-bank financial companies and circumvent federal bankruptcy.
