Dechert Advises Lohmiller & Company on Sale to SRS Distribution, a Subsidiary of The Home Depot

Dechert served as legal counsel to Lohmiller & Company, a Denver-headquartered wholesale distributor of HVAC equipment, parts and supplies, in connection with its sale to SRS Distribution Inc., one of the largest and fastest-growing building products distributors in North America and a wholly owned subsidiary of The Home Depot, Inc.

The transaction further expands SRS Distribution's nascent HVAC platform, which has emerged as a key growth vertical following The Home Depot's approximately US$18.25 billion acquisition of SRS in 2024. Lohmiller is the latest addition to the platform, following SRS's recent acquisition of Mingledorff’s, a leading HVAC distributor in the Southeast.

The team provided comprehensive M&A counsel, navigating the transaction from negotiation through signing on behalf of the company's three owner-operators.
