Gerald H. Brown, Jr. is a partner in Dechert’s financial services practice, advising clients on asset management matters, particularly in the formation of closed-end funds. Mr. Brown represents a broad range of clients, including large institutional sponsors, mid-size middle-market sponsors, placement agents and investors.

Mr. Brown counsels clients in connection with the formation of credit funds, real estate credit funds, traditional buyout funds, infrastructure funds, funds of funds, managed accounts, funds-of-one, employee funds, and co-invest arrangements, as well as bespoke investment vehicles and products. He also advises on corporate transactional matters, including investments in private equity managers and secondary transactions.

Chambers USA recognizes Mr. Brown as an “Up and Coming” lawyer in private equity fund formation, with clients describing how they are “extremely impressed by [his] breadth of knowledge, responsiveness and overall high level of professionalism.” He often authors articles about fund formation and is a regular speaker on industry panels and at law schools in New York City.
