Gerald H. Brown, Jr. is a partner in Dechert’s financial services practice who advises sponsors and investors on asset management matters, with a particular focus on private fund formation. He works with large institutional sponsors, middle‑market sponsors, and investors.
Mr. Brown forms private funds across various asset classes—credit, real estate and real estate credit, private equity, infrastructure, and funds of funds—and structures bespoke solutions, including customized managed accounts, funds‑of‑one, and co‑investment arrangements. He is also a trusted advisor when it comes to helping clients establish and restructure upper‑tier management company arrangements and employee investment programs. He also regularly advises on alternative investment‑related transactions, such as GP stakes/seed deals, continuation funds, and other secondary transactions.
Chambers USA recognizes Mr. Brown as “Up and Coming” in private equity fund formation, with clients “extremely impressed by [his] breadth of knowledge, responsiveness, and overall high level of professionalism.” He regularly publishes on fund formation and speaks on industry panels and at New York City law schools, including New York University, Cardozo, and New York Law School.
