Mary Bear is a consulting attorney in the global finance group who focuses her practice on securitization transactions. She has more than 17 years of experience advising issuers, commercial and investment banks, asset managers and others on securitization and various types of restructurings. Ms. Bear’s practice focuses on structured lending, collateral loan obligation (CLO) transactions, asset-backed securitization, collateral manager mergers and acquisitions and workouts. She represents investment banks, asset managers, business development companies and investors in CLO transactions and loan to special purpose vehicle transactions, and has advised lenders and underwriters in credit card securitizations.

Ms. Bear assists clients with all manner of risk retention solutions, including working with the world’s largest asset managers on establishing new management companies and manager affiliates. She authored or co-authored numerous articles and white papers regarding various risk retention solutions, including “The work of complying with US Risk Retention Rules continues” which appeared in Alt Credit Intelligence. For numerous years, she co-authored an annual update on the state of the middle-market CLO market for Asset Securitization Report.

Ms. Bear has represented equipment lease companies and specialty finance companies in securitization and other financing arrangements, and has advised on acquisitions of collateral managers, and sub-management arrangements for managers and servicers of structured products. She also has experience in esoteric asset-backed securitization, asset-backed conduit financing, distressed investments, and fund formation.
