Megan Black, is an associate in Dechert’s corporate and securities practice with a focus on leveraged finance. Ms. Black represents a wide range of clients, including private equity firms and their portfolio companies, lenders and other investors in acquisition financings and various other types of U.S. and international financing transactions.

Prior to joining Dechert, Ms. Black was at Ropes and Gray, LLP.

  • TPG Capital in connection with the debt financing for its acquisition of Conservice, a leading utility management platform for the property management industry.
  • Hearthside Foods and its affiliated debtors in prearranged Chapter 11 cases restructuring more than US$3.0 billion of funded debt, eliminating approximately US$2.0 billion of obligations and raising new capital through an equity rights offering and asset-backed financing, followed by emergence and rebranding as Maker’s Pride.
  • Rand Logistics, a provider of marine bulk freight shipping and logistics services, in the refinancing of its US$525 million credit facility.
  • Tecomet, Inc., together with certain of its affiliates, in the refinancing of its approximately US$1 billion capital structure, including through the provision of a new revolving credit facility and privately placed first-lien term loan.
  • Exactech, a leading orthopedic medical device manufacturer, in voluntary Chapter 11 cases involving a going-concern asset sale to secured lenders, US$160 million of DIP financing, and the resolution of significant prepetition liabilities.
  • Optimum Communications, Inc. (formerly Altice USA) and their subsidiaries, as co-borrowers, in connection with a US$2 billion term loan facility.
  • Rodan & Fields, LLC, a TPG Capital portfolio company, in the restructuring of Rodan’s approximately US$775 million credit facilities.
