Thaddeus E. Chase Jr. advises clients across a wide range of corporate matters, particularly buy-side and sell-side mergers and acquisitions, for public and private companies.
Mr. Chase brings deep experience involving healthcare, technology and consumer products companies, guiding clients through complex M&A transactions, internal restructurings, divestitures, corporate carve-outs, debt and equity investments, securities offerings and corporate governance matters. He also dedicates time to pro bono work, including the formation of 501(c)(3) nonprofit organizations.
- Represented 7-Eleven, Inc., the premier operator of an international chain of retail convenience stores, in multiple acquisitions of U.S. convenience stores.*
- Represented Hakkoda Inc., a leading global data and AI consultancy, in its sale of its platform to IBM.*
- Represented Enovix Corporation (Nasdaq: ENVX), a global high-performance battery company, in its acquisition of battery cell manufacturing assets from SolarEdge, located in South Korea.*
- Represented The Coca-Cola Company in connection with its US$1.02 billion sale of its bottling operations in Vietnam and Cambodia to Swire Pacific Ltd.*
- Represented Linedata, a global provider of asset management and credit technology, data and services, in its acquisition of nRoad, Inc.*
- Represented Downtown Music Holdings, a premier music publishing partner for songwriters, storied music catalogues and emerging artists, in two transformational deals: (i) Downtown’s acquisition of AVL Digital Group, a leading digital music publishing platform; and (ii) Downtown’s sale of its music catalogue business (over 145,000 songs by artists including Beyoncé, Lady Gaga, Mötley Crüe and more) to Concord Music Publishing.*
- Represented B-Flexion (formerly Waypoint Capital), in its acquisition of a majority stake in Allergy Partners, the largest U.S. group of single-specialty allergy and asthma practices, and multiple add-on acquisitions and general corporate matters.*
- Represented Amulet Capital Partners, L.P. in its acquisition of Children’s Choice Dental, a California-based dental practice management organization, and multiple add-on acquisitions.*
- Represented Amulet Capital Partners, L.P. in its acquisition of United Vein & Vascular Centers, a leading provider of high-quality vascular care treatment services, and multiple add-on acquisitions.*
- Represented United Services Automobile Association (USAA), a leading provider of insurance, investing and banking solutions to members of the U.S. military, veterans and their families, in its acquisition of Noblr, Inc., a usage-based insurance (UBI) business.*
- Represented EPiX Therapeutics Inc. in its sale to Medtronic plc.*
- Represented Atlantic Street Capital in connection with its subsidiary United Veterinary Care, LLC in its multiple add-on transactions and financing-related issues.*
- Represented PharmaLex GmbH, a portfolio company of AUCTUS Capital Partners, a Munich-based private equity fund, in connection with its acquisition of the information technology company Arbour Group LLC from Keystone Capital, Inc.*
