Michael S. Doluisio has represented clients in a wide range of complex corporate, commercial, and appellate matters. He has significant experience with securities litigation, actions brought against directors and officers, actions involving mergers and acquisitions, contract and business tort actions, class actions, and accounting malpractice and fraud actions. Since 2012, Benchmark Litigation has identified Mr. Doluisio as a “securities litigation star” and since 2014 he has been recognized by Legal 500 US for his Securities Shareholder Litigation practice. He is also ranked in The Best Lawyers in America for commercial litigation and insurance litigation.

Mr. Doluisio has extensive experience in litigation involving mutual funds and hedge funds. He recently represented a major mutual fund family in connection with various putative nationwide class actions, obtaining dismissals of plaintiffs’ claims with prejudice. In addition, he has represented other fund families in revenue sharing and other putative class actions alleging claims under the ‘40 Act, as well as common law causes of action. Mr. Doluisio recently represented the directors of a Cayman Islands-based hedge fund in litigation arising out of a fraud committed by the investment manager.

In addition to working on cases involving mutual funds and hedge funds, Mr. Doluisio has experience in securities litigation, mergers and acquisition litigation, and cases involving accounting fraud. He has recently been involved with the prosecution on behalf of Adelphia Communications Corporation of an accounting malpractice claim against a Big Four auditor; the successful defense of a leading technology company “incubator” in securities litigation; the successful defense of venture capital firms in mergers and acquisitions litigation; the successful defense of a Big Four accounting firm in securities litigation; the successful defense of a leading automotive parts manufacturer in a complex contract and breach of fiduciary duty case brought by one of its international joint venture partners; the successful defense of a Big Four auditing firm in an accountants’ liability action brought by the Pennsylvania Insurance Commissioner; and the successful defense of a leading software manufacturer in a matter brought to enforce a poison pill provision in a software license agreement.
