Kennede Miller is an associate in Dechert’s corporate and securities practice with a focus on leveraged finance. She represents a wide range of clients, including private equity firms and their portfolio companies, lenders and other investors in U.S. and international financing transactions.
Prior to joining Dechert, Ms. Miller practiced in the Chicago office of another international law firm.
- American Industrial Partners, in connection with obtaining financing for its acquisition of Avanos Medical, Inc., a leading medical technology company, for approximately $1.272 billion.
- Stax Engineering, Inc., a California-based builder and operator of mobile floating barges with cutting-edge emissions capture and control systems servicing container ships, car carriers and tankers, in connection with the refinancing of multiple series of privately placed notes and obtaining $150 million in senior secured credit facilities from Bain Capital’s Private Capital Group.
- CIVC Partners, in connection with the financing of its strategic investment in Nationwide Legal, a premier provider of litigation support services, including service of process, court filings, subpoena services, and court reporting.
- TriArtisan Capital Advisors, in connection with the financing for its approximately $620 million take-private acquisition (alongside Treville Capital Group and Yadav Enterprises) of Denny’s, a full-service restaurant chain.
- McNally Capital, in connection with its acquisition of Airforce Turbine Service, a leading independent global aviation company offering services including engine repair, overhaul, parts sales, leasing and exchange programs for operators worldwide.
