Rodrigo A. Rivera

Rodrigo A. Rivera focuses his practice on corporate and securities matters. Mr. Rivera represents private equity sponsors and their portfolio companies, as well as strategic buyers and sellers in merger and acquisition transactions across a wide range of industry sectors. In addition, Mr. Rivera advises clients on general corporate matters, including corporate governance.

Mr. Rivera joined Dechert as a summer associate in 2018 and 2019. During law school, he was a judicial intern for Judge Joel H. Slomsky, United States Court for the Eastern District of Pennsylvania.

Mergers and Acquisitions

  • Barcoding Holdings, LLC, a portfolio company of Graham Partners, on a definitive agreement to merge their affiliate with public company target DecisionPoint Systems, Inc., a leading mobility-first enterprise services and solutions company.
  • Court Square Capital Partners and its affiliates in connection with its purchase of all the issued and outstanding equity of the direct and indirect parent entities of Chauvet & Sons, LLC from its current sponsor, Cortec Group Management Services, LLC.
  • Graham Partners and its affiliates in connection with its purchase of Rhythmlink.
  • One Equity Partners in connection with its acquisition of Liquid Web, LLC from its former parent company Madison Dearborn Capital Partners.
  • Graham Partners in connection with its investment in BrightSign, LLC, a provider of purpose-built media players, cloud-based networking solutions, and systems software for the worldwide digital signage market.
  • CVC Capital Partners, as the lead investor in a consortium that sponsored the combination of Worldwide Express, LLC and GlobalTranz Enterprises, LLC to create an industry leader with unique technology capabilities and market-leading solutions for the freight and parcel markets. Other consortium members include GlobalTranz's prior lead investors, Providence Equity Partners and PSG, while prior Worldwide Express lead investor, Ridgemont Equity Partners, also retained a significant stake in the combined entity.
  • US Ecology, Inc. in connection with its US$2.2 billion sale to Republic Services Inc.

Capital Markets/Alternative Asset Management Diversification

  • Select Medical Holdings Corporation, a leading operator of critical illness recovery hospitals, rehabilitation hospitals, outpatient rehabilitation clinics, and occupational health centers, and Concentra Group Holdings Parent, Inc., a wholly owned subsidiary of Select Medical, in connection with Concentra’s IPO.
  • AB Private Lending Fund, a publicly registered, non-traded business development company advised by an affiliate of AllianceBernstein L.P., in connection with its formation, capital markets transactions and general corporate matters.
  • AB Private Credit Investors Corporation, a business development company advised by an affiliate of AllianceBernstein L.P., in connection with capital markets transactions and general corporate matters.
