Kenneth Winterbottom focuses his practice on corporate and securities matters, with a particular emphasis on mergers and acquisitions and public company reporting issues. In addition, Mr. Winterbottom represents companies in domestic and cross-border securities offerings and advises clients on general corporate matters, including corporate governance.

Mr. Winterbottom also maintains a varied pro bono practice. In 2017, he received the Firm’s Samuel E. Klein Pro Bono Award in recognition of his representation of Guantanamo Bay detainees.

Mr. Winterbottom was a Dechert summer associate in 2015. Prior to joining Dechert, he served as a legal intern in the Philadelphia District Attorney’s Office.

  • Actua Corporation (Nasdaq: ACTA) in its approximately US$549 million sale of its three majority-owned businesses to affiliates of CVC Growth Fund and Envestnet, Inc.
  • CDI Corporation (NYSE: CDI) in its US$8.25 per share sale acquisition by affiliates of AE Industrial Partners, LLC.
  • Graham Partners in its acquisition of Mercer Foods, a manufacturer of high quality freeze-dried fruits, vegetables, and proteins.
