Quinn Wetherall* focuses his practice on corporate law, with an emphasis on mergers and acquisitions and the representation of issuers and investment banks in public and private securities transactions. In addition, Mr. Wetherall advises clients on a full range of general corporate matters, including corporate governance and securities law compliance matters, SEC disclosure filings and the preparation of annual and quarterly reports.

Mergers & Acquisitions

  • Brightline, a portfolio company of Fortress Investment Group LLC and one of the nation’s only privately owned, operated and maintained express intercity passenger rail system, in its acquisition of XpressWest, a high‑speed passenger rail project with rights to develop a federally approved corridor connecting Southern California and Las Vegas, Nevada.
  • Brunswick Corporation in its US$910 million acquisition of Power Products’ Global Marine & Mobile Business.
  • IBM's divestiture of its Seterus mortgage servicing platform to Mr. Cooper Group Inc. 
  • US Foods Holding Corp., a leading foodservice distributor, in its US$1.8 billion acquisition of the five operating companies of Services Group of America, collectively known as SGA's Food Group of Companies.
  • Altra Industrial Motion Corp., a global manufacturer and marketer of electromechanical power transmission and motion control products, in connection with the financing of its US$3 billion combination with Fortive's Automation & Specialty Platform.

Capital Markets

  • AerCap Holdings N.V., the world’s largest independent aircraft leasing company, in numerous registered senior notes offerings totaling over US$3 billion.
  • Booking Holdings Inc. (formerly, The Priceline Group Inc.), a world leader in online travel, in its US$1 billion registered senior notes offering.
  • The initial purchasers, led by J.P. Morgan Securities, Goldman Sachs & Co. LLC, Citigroup and Deutsche Bank Securities, in connection with the US$1.1 billion 144A/Reg. S high‑yield senior notes offering of Navistar International Corporation, a leading manufacturer of commercial trucks, buses, defense vehicles and engines.
  • The underwriters, led by Credit Suisse, Wells Fargo Securities, J.P. Morgan Securities, DNB Markets, HSBC and Bank of America Merrill Lynch in connection with the US$300 million registered senior notes offering of Oceaneering International, Inc., a global provider of engineered services and products, primarily to the offshore oil and gas industry.
