Dechert Advises J.H. Whitney on Two Recent M&A Transactions

Dechert advised J.H. Whitney Capital Partners, a private equity firm based in Connecticut, on two recent transactions – a merger agreement of J.H. Whitney Capital Partners’ portfolio company PSA Healthcare and the acquisition of 3B Scientific group. Both transactions were led by corporate partner Markus Bolsinger.

J.H. Whitney and its portfolio company PSA Healthcare were advised by Dechert in a merger agreement with a Bain Capital Private Equity affiliate that had previously agreed to acquire Epic Health Services.

J.H. Whitney Capital Partners and the other current equity owners of PSA Healthcare agreed to roll over their ownership interest into the combined entity that will merge PSA Healthcare, a pediatric home healthcare and in-home care provider, and Epic Health Services, a pediatric skilled nursing, therapy, adult home health care, behavioral health and autism services provider. The merger is expected to provide a diversified platform of pediatric care for its clients. The transaction is expected to close in the first quarter of 2017.

In addition to Bolsinger, other Dechert team members advising on this deal included corporate partner Gregory Schernecke, tax partner Steve Clemens, antitrust partner Michael Weiner, corporate associates Jieun Paik and Shannon Cleary and antitrust associates Beverly Ang and Michael Okkonen.

Dechert also advised J.H. Whitney in the acquisition of 3B Scientific group, an international manufacturer of anatomical and biological teaching aids, models and software. 3B Scientific group, headquartered in Hamburg, Germany, began manufacturing in 1819 and has 15 subsidiaries around the globe, making 3B Scientific one of the most experienced group of companies in the industry today.

New-York based Bolsinger led a cross-border Dechert team advising on this acquisition that included Munich-based corporate partners Berthold Hummel and Katja Heuterkes, New York-based tax partner Steven Clemens, Frankfurt-based antitrust partner Clemens York, and New York-based employee benefits partner Andrew Oringer. The team also included Munich-based corporate associates Christian Böhme, Julia Braun, and Carina Klaes-Staudt; New York-based corporate associates Jieun Paik, Clara Volwahsen, and Carla Tomazella; New York-based employee benefits associate Sarah Burke; and New York-based real estate special counsel Francois Quintard-Morenas.
