Dechert advised longstanding client Share plc on the terms of a £62 million recommended offer by Interactive Investor Limited (“ii”). The offer is for the entire issued and to be issued share capital of Share plc and is governed by the UK Takeover Code. Subject to shareholder approval, FCA consent and other customary conditions, the transaction is expected to close during Q3 2020.
Share plc is a retail stockbroking group listed on the London Stock Exchange. The buyer, ii, is an online retail broker which is majority owned by J.C. Flowers IV L.P., a fund advised by J.C. Flowers & Co. LLC.
