Dechert Advises KKR on Take-Private Acquisition of mdf commerce

March 12, 2024

Dechert advised KKR, a leading global investment firm, on its recent acquisition of mdf commerce, a SaaS leader in digital commerce technologies, in an all-cash transaction. Upon the transaction’s completion, mdf commerce will become a privately-held company, acquired by funds managed by KKR.

Mdf commerce's North American eProcurement platform, serving over 6,500 government agencies and 650,000+ suppliers in the US and Canada, provides a strong foundation for a leading government software platform. KKR will support mdf with accelerating their expansion, scaling their industry-leading platform even further, and establishing an equity ownership program for all employees. Since 2011, KKR portfolio companies have awarded billions in total equity value to over 60,000 non-management employees across more than 40 companies.

The Dechert team advising KKR included corporate partners Ken Young, Jonathan Stott, and Stephanie Haas; global finance partner Soo-ah Nah; and tax partner David Passey.
