Dechert advised Ares Management Corporation funds (“Ares”) on a £500 million preferred equity investment from a consortium led by Searchlight Capital Partners, L.P. (“Searchlight”) and Ares for environmental consultancy RSK Group Limited (“RSK”). Dechert also advised Ares on the commitment of an incremental £300 million debt facility to RSK, bringing the total debt facilities provided by Ares to £1.4 billion.
The investment is expected to support the ambitions articulated in RSK’s 2030 Global Strategy, including organic growth initiatives and the continued execution of the company’s acquisition strategy. RSK offers bespoke environmental consulting and engineering solutions across the water, energy, construction and infrastructure sectors. Ares, a leading global alternative investment manager, began investing in RSK in 2018.
Philip Butler said, “We are delighted to once again have acted for Ares on its support of RSK. We first became involved as Ares did back in 2018 and have been privileged to witness RSK go from strength to strength as this latest investment demonstrates.”
The Dechert team that advised Ares includes London-based private capital partners Philip Butler and Sam Whittaker, counsel Sarah Moffat and Bishoy Eskander, and associate Jamal Tuhin. Trainee solicitor Antoine Bouvier also provided support.
