House Bill Would Direct the SEC to Expand the Scope of Offerings Exempted from Enhanced Disclosure Requirements under Rule 701

A House bill would direct the SEC to amend Rule 701 under the Securities Act to expand the scope of offerings that are exempted from satisfying certain enhanced disclosure requirements when relying on the Rule. The amended Rule would increase from $5 million to $10 million the size of an offering above which an issuer relying on the Rule must provide investors with certain additional disclosure relating to compensatory benefit plans.
