Matthew Duxbury

Matthew Duxbury focuses his practice on the structuring and formation of private funds. He has significant experience across a range of asset classes, representing asset managers in private credit, private equity, infrastructure, real estate and hedge. He also represents asset managers on secondary transactions, co-investment arrangements, separately managed accounts and fund reorganisations and restructurings. In addition, he advises on general corporate, regulatory and compliance matters and service provider documentation for private funds and their managers, as well as on the implementation of carried interest and other incentive schemes and negotiating seed deal and cornerstone agreements.

Mr. Duxbury has advised a range of sponsors across the asset management sector in the UK, the U.S. and continental Europe and has worked on and structured both regulated and unregulated funds across a number of domiciles, with a particular focus on Luxembourg, Ireland, Cayman Islands and Delaware. Mr. Duxbury’s practice covers both closed-ended and open-ended funds, including evergreen funds investing in private assets.

Mr. Duxbury has been recognized as a key lawyer for Private Funds by The Legal500 UK since 2023 and was ranked as an “Associate to Watch” for “Investment Funds: Private Equity” by Chambers UK in 2025.
