David Henshaw focuses his practice on financial services and investment management matters with an emphasis on the structuring, establishment, management, marketing and restructuring of investment funds, including hedge funds and UCITS funds. Mr. Henshaw advises on the formation and structuring of a variety of fund structures domiciled in a range of onshore and offshore jurisdictions for UK, US and European asset managers. Mr. Henshaw also advises on service provider documentation and provides ongoing advice on general corporate, compliance and UK, Irish and European regulatory issues.

Prior to joining Dechert, Mr. Henshaw was a lawyer in the asset management and investment funds department of a tier 1 Irish law firm. His previous experience also includes completing a secondment to the London-based EMEA headquarters of a leading US asset manager where he advised on general corporate, regulatory, marketing and compliance matters in respect of their UCITS and AIF products.

    • Advises UK, US and European managers on the establishment and maintenance of Irish domiciled UCITS and AIFs.
    • Advises various UK asset managers on the establishment and maintenance of offshore fund structures (including master-feeder structures) across a number of domiciles.
    • Advises on the migration by continuation of offshore funds to Irish authorised funds (UCITS or AIFs).
    • Advises on cross-border distribution of Irish domiciled and Luxembourg domiciled UCITS.
