Michael M. Piri focuses his practice on advising registered investment companies and business development companies, their investment advisers and their boards of directors/trustees on a variety of fund formation, regulatory, compliance, corporate governance and transactional matters.
Mr. Piri advises investment managers on structuring permanent capital funds to expand investor access to alternative investment strategies and underlying private credit and private equity investments. In addition to counseling on complex fund formation matters, he advises on the lifecycles of permanent capital funds, including on SEC disclosure and financial reporting obligations, beneficial ownership reporting requirements, proxy disclosure and related shareholder communications, tender offer programs, applications for SEC exemptive orders, fund reorganizations and other strategic transactions.
